This year the IBA Annual Conference takes place on 7 - 12 October in Rome, Italy, and more than 6,000 delegates from all over the world will attend. RECENT LANDMARK CASES

KROMANN REUMERT ADVISES ON COMBINATION OF WIDEX AND SIVANTOS

In 2018 Kromann Reumert advised Widex and its owners (the Tøpholm and Westermann families) in connection with the combination with Sivantos, owned by funds advised by EQT. The combination will create a global leading player in the hearing aid industry. 

HELLMAN & FRIEDMAN IN TAKEOVER BID FOR NETS

A consortium led by private equity fund Hellman & Friedman announced in autumn 2017 a voluntary takeover bid on payment and card provider Nets A/S at a cash price of DKK 165 per share, translating into an enterprise value of around DKK 33.1 billion. The takeover completed in the beginning of 2018 following regulatory approvals in all Nordic countries, and the transaction ranked as the biggest European leveraged buyout in nearly five years.
Kromann Reumert advised Hellman & Friedman throughout. 

THE OWNERS OF HUNTER MACDONALD SELLS SHARES TO NETCOMPANY

In 2017 Kromann Reumert advised the owners of UK IT company Hunter Macdonald Ltd. on the sale of their shares in the company to Netcompany. Formed in 2013, Hunter Macdonald Ltd. was recognised in 2017 as the fastest-growing IT service enterprise in the UK by prestigious Sunday Times Tech Trek.

HOTEL BELLA SKY SOLD TO NORWEGIAN WENAASGRUPPEN

In the summer of 2017, Wenaasgruppen A/S bought the iconic Bella Sky hotel in Ørestaden, Copenhagen, acquiring the total share capital of Bella Sky A/S. The seller was investment fund Solstra Capital Partners. In connection with the purchase, a new hotel lease agreement was concluded with BC Hospitality Group A/S, who will be running the hotel under the Mariott brand. Kromann Reumert advised Wenaasgruppen throughout the process, including negotiating and drafting of the purchase agreement, and on the creation of a number of declarations to be registered on neighbouring properties in connection with the purchase.

KROMANN REUMERT ADVISES FLSMIDTH A/S ON ITS ACQUISITION OF PARTS OF SANDVIK MINING SYSTEMS

In 2017 FLSmidth acquired parts of Sandvik Mining Systems. The transaction highlighted our ever-increasing outbound capabilities, as it had us acting as global lead adviser to FLSmidth in a transaction involving the transfer of assets and/or employees in more than ten jurisdictions spanning five continents.

HALDOR TOPSØE SELLS BUSINESS ACTIVITIES TO BELGIAN UMICORE

In 2017 Haldor Topsøe sold off its automotive and stationary DeNOx business to Belgian Umicore. The sale included companies in Brazil and China, employees, all technologies and intellectual property rights, the production and R&D facilities linked to the two business areas in Denmark, US, China and Brazil. The contract sum was DKK 900 million with possible additional earn-out payments. Kromann Reumert advised Haldor Topsøe from start to finish, including on the drafting and negotiating of the transaction documentation.
