Regulation of listed companies

Kromann Reumert advises, among others, listed companies and investors on the extensive and complex capital markets rules and regulations. We also represent clients in cases before the Danish Financial Supervisory Authority, the courts and other authorities.

Regulation of capital markets is extensive and often quite complicated. The regulation is today to a high degree based on EU regulations and directives, in addition to the Danish Capital Markets Act and executive orders issued under it. The penalty for non-compliance may be serious, ranging from orders and reprimands to liability in damages and even criminal liability.

We advise Danish and foreign businesses on capital market matters, acting as direct sparring partner with management and in-house legal departments, i.a. in relation to businesses’ disclosure obligations. We also—in cooperation with our corporate criminal law experts, where relevant—represent businesses in court cases or cases opened by the Danish Financial Supervisory Authority or the Danish State Prosecutor for Serious Economic and International Crime. Together with our group of litigation specialists, we represent listed companies in relation to claims for damages brought against the company or members of management.
