Commercial and non-commercial foundations and other self-governing institutions exempted or not covered by foundation regulations are subject to supervision and rules governing their organisation and activities.

Our specialists are greatly experienced in all aspects of foundation law, with in-depth knowledge of how the supervisory authorities work and how each foundation/self-governing institution should organise to best accommodate the rules and regulations.

Our advice 

We advise on issues such as:

  • establishment of commercial and non-commercial foundations and other self-governing institutions (while living or by will)
  • handling of supervisory and control cases with regulatory authorities (the Danish Business Authority and the Dept. of Civil Affairs)
  • structural changes and amendments to articles of association requiring consent or permission from supervisory authorities
  • merging of commercial or non-commercial foundations requiring permission from supervisory authorities
  • dissolution/liquidation of foundations requiring permission from supervisory authorities
  • acquisition or divestment of activities or subsidiaries, which often require prior consent or permission from supervisory authorities
  • corporate governance, including recommendations on foundation governance and compensation to members of management
  • management liability cases
  • distributions to charitable or other purposes 
  • investments by foundations.

We also advise on matters pertaining to association law, including on formation of commercial and non-commercial associations and subsequent amendments to articles of association.
